　　For the purpose of serving our company, we hereby certify that the xxx produced by us is under our own development, design and manufacturing.  We shall hold you harmless for any illegal matters related to the Intellectual Property Rights of the product, and we certify that the product is purely for commercial use only.  In the event of any legal issues that cause potential litigation with a third party either with the government or any commercial entities related to the products, we shall engage legal representative to protect both our interests.

　　我方作為貴公司________________________________________貨物的供應商，向貴公司做出如下保證：

　　一、關于我方經營資格的保證

　　我方保證向貴公司提供的營業執照、經營生產許可證真實有效。

　　二、關于我方供應貨物的保證

　　1、供應貨物都有合格的《質量檢測報告》和相關的產品合格證，符合國家的.相關規定。

　　2、供應貨物經貴公司書面確認供應品牌后，不作隨意更換。

　　3、供應貨物的保質期不低于______天，自貨物經貴公司驗收入庫之日起計算。

　　4、我方認可貴公司的貨物驗收制度，并在對供應貨物進行驗收時，嚴格遵守貴公司的貨物驗收制度。

　　5、對未通過驗收的貨物，保證在貴公司規定時間內補充合格的貨物。

　　6、對通過驗收的貨物，在貴公司投入使用之前，出現相關證照不全、品牌不符及質量問題的，保證無條件退貨，并在貴公司規定時間內補充合格的貨物。

　　7、因我方供應貨物的質量問題，對貴公司造成了不良影響的，我方愿承擔該批貨物價款1-10倍的罰款，并承擔由此所造成的經濟損失及法律責任。

　　8、我方愿意用供應貨物貨款的30%作為每月結帳的滾動質保金，于下次結帳時進行結算。
